Branch Registration in Hong Kong

For a non-Hong Kong company, i.e. company that is incorporated outside Hong Kong, which likes to set up a Hong Kong branch, below please find relevant information:

  • Within 1 month after the establishment of a place of business in Hong Kong, a non-Hong Kong company has to apply for registration as a registered non-Hong Kong company

Documents to be submitted to Company Registry:

  1. Form NN1 – Application for Registration as Registered Non- Hong Kong Company;
  2. A certified copy of the instrument defining the company’s constitution

(E.g. charter, statues or memorandum and articles of association);

  1. A certified copy of the company’s certificate of incorporation(or equivalent documents);
  2. A certified copy of the company’s latest published accounts; and
  3. A notice to business registration office (IRBR2)

After submitting all the documents, you will get the following certificates from Company Registry:

  1. A certificated of Registration of Non-Hong Kong Company, and
  2. A business Registration Certificates

The Certificates can normally be issued within 13 working days.

Fees for foreign companies to register a Hong Kong branch include:

  • Registration of a non-Hong Kong company at Company Registry – HK$1,720
    • Including HK$1,425 for issuing a Certificate of Registration of Non-Hong Kong Company, and
    • HK$295 lodgement fee; and
  • Business Registration Certificate – HK$2,250
    • For a non-Hong Kong company, it has to get a registered address for the place of business in Hong Kong. You have to get a Business Registration Certificate for the registered address in Hong Kong.
