The company secretary is responsible for keeping the company’s minute books, the register of members, the register of debentures & any other records as may be required by the board of directors.
The company secretary is also required to ensure that proper notices are given of all meetings, & that all returns & other documents of the company are prepared & delivered to the Registry of Companies in accordance with the requirements of the Companies Act. This function may be performed ONLY by individuals (natural persons, HK ID holder) & by corporation (HK registered entity – Limited company).
